Partner Salon Agreement

A. Parties
This Agreement is between Genuine Goods Outlet (operating the brand “QueueCut”, GSTIN 20FQWPB0689F1ZR, with business address at Burma Mines, Jharkhand, India) and you, the salon business owner who registers on QueueCut as a Partner Salon.
By using QueueCut owner features (including onboarding, listings, and payouts), you agree to this Partner Salon Agreement and the documents linked from it.
B. Platform services
QueueCut provides an online booking and payment platform that connects Users (customers) with Partner Salons. QueueCut does not perform salon services; Partner Salons deliver the services.
Commission: QueueCut charges a platform commission of 12% on the gross amount of each online booking payment processed through the platform.
TCS: On applicable intra-state online taxable supplies facilitated through QueueCut, GST tax collected at source (TCS) is withheld at 1% (0.5% CGST + 0.5% SGST) under Section 52 of the Central Goods and Services Tax Act, 2017, where such TCS applies to the transaction.
Net payout: After deducting the 12% platform commission and applicable 1% TCS (where applicable), the indicative net amount credited toward your payout is 87% of the gross online booking value (excluding payment partner fees, chargebacks, reversals, compliance holds, rounding, and any other deductions required by law or payment partners).
Payouts via Razorpay Route: Online payments received from Users are processed by Razorpay. Where Route is enabled for your account, funds are transferred to your Razorpay linked accountin line with Razorpay's Route transfer flows.
Settlement to bank: Settlement from your Razorpay linked account to your registered bank account is typically within 2 business days from the date of transfer, per Razorpay's standard settlement cycleas updated from time to time. Settlement is processed solely by Razorpay and is subject to Razorpay's terms, risk reviews, banking holidays, and compliance holds.
No control over timelines: QueueCut does not control Razorpay settlement timelines, holds, or partner fees. You can monitor settlements in real time on your Razorpay linked account dashboard.
Cash and offline payments:Payments not processed through QueueCut's online checkout (including cash and offline collections outside the platform) are not subject to the commission/TCS mechanics described above for online bookings, unless separately agreed in writing.
C. Partner obligations
- Provide accurate business information, pricing, and service descriptions.
- Honour all confirmed online bookings, except where law or a documented QueueCut exception applies.
- Complete Razorpay KYC and maintain an active linked account where required to receive Route payouts.
- Provide and maintain a valid PAN where required for payouts and tax compliance.
- Keep services, slots, and pricing updated on the platform.
- Do not cancel confirmed online bookings through the platform without a valid reason acceptable under QueueCut policy or applicable law.
D. Prohibited activities
- Using the platform to facilitate fraudulent bookings, payments, or chargeback abuse.
- Manipulating reviews, ratings, rankings, or slot availability in a deceptive manner.
- Misrepresenting services, pricing, discounts, or salon identity.
E. Payment terms (tax and compliance)
For applicable online supplies, QueueCut operates as an e-commerce operator under Indian GST law for TCS collection, deposit, and reporting (including GSTR-8 where applicable), subject to notifications and thresholds.
Partner GST: You are responsible for your own GST compliance, including registration when your aggregate turnover crosses applicable thresholds (commonly ₹20 lakh in many cases, subject to law). QueueCut does not provide tax advice.
TDS (Section 194-O): Income-tax TDS under Section 194-O of the Income-tax Act, 1961 may apply on gross amounts credited/paid through an e-commerce operator once aggregate payouts exceed ₹5,00,000 in a financial year (subject to thresholds, exemptions, and rate changes notified by the Government of India). Where applicable, deductions may be implemented in line with law and payment partner configuration.
PAN mandatory: Payouts may be blocked or withheld until valid PAN and KYC requirements are satisfied, as required by law or Razorpay.
F. Termination
QueueCut may suspend or terminate Partner Salon access for breaches, fraud, legal compulsion, or material risk to Users.
You may deactivate your salon presence subject to completing outstanding obligations.
Pending payouts: Subject to successful payment capture, reversals, chargebacks, compliance reviews, and partner policies, pending amounts ordinarily due to you will be processed within 7 business days of termination or deactivation where reasonably practicable.
G. Governing law
This Agreement is governed by the laws of India. Subject to non-waivable rights, courts in Jharkhand, India shall have jurisdiction over disputes arising from your use of QueueCut as a Partner Salon.
